    Proposal for European rules on pre-pack proceedings should be supported

    On 7 December 2022, the European Commission published the Proposal for a Directive of the European Parliament and of the Council harmonising certain aspects of insolvency law. This Proposal is intended to harmonise the insolvency laws of EU member states in order to make insolvency proceedings more predictable and efficient. The Proposal also includes a number of principles the pre-pack proceedings in each member state must meet.

    Parliamentary adoption of the act on confirmation of private restructuring plans

    On 26 May 2020, the Act on the confirmation of private restructuring plans (Wet homologatie onderhands akkoord or WHOA) was adopted by the Dutch parliamentary House of Representatives (Tweede Kamer). The Dutch Senate (Eerste Kamer) will now have the final vote. Parliamentary consultations in the Dutch Senate will take place on 9 June 2020.

    WHOA - The future of (international) debt restructurings in The Netherlands

    The Act on the confirmation of private plans (Wet homologatie onderhands akkoord or WHOA) was submitted to the Dutch parliament last year and, once adopted, introduces a framework under which tailor-made (financial) restructuring plans can be implemented outside formal insolvency proceedings.

    The WHOA combines elements of the English Scheme of Arrangements, US Chapter 11 and the EU Restructuring Directive (EU 2019/1023).

    The following is an overview of the WHOA's most important features.

    Coronavirus: surseance van betaling als paardenmiddel voor ondernemingen

    Op 17 maart jl. nam de regering uitzonderlijke maatregelen om de economische gevolgen van de corona uitbraak het hoofd te bieden. Met noodmaatregelen probeert de regering ondernemingen overeind te houden. Het blijft onzeker of die maatregelen voldoende financiële ruimte geven om de salarissen en schuldeisers (op termijn) te betalen. We bespreken daarom in deze bijdrage een uiterste redmiddel: de wettelijke procedure van surseance van betaling.

    Coulante bestuursorganen: pas op voor de verjaring van de invorderingsbevoegdheid

    De Afdeling bestuursrechtspraak van de Raad van State heeft in een uitspraak van 25 januari 2017 (zaaknr. 201508332/1/A3) nogmaals bevestigd dat de bereidheid van een bestuursorgaan om te wachten met invordering van verbeurde dwangsommen totdat op een tegen de last onder dwangsom aanhangig gemaakt beroep is beslist door de rechter, haar duur kan komen te staan. In deze zaak verloor het college van burgemeester en wethouders van Eindhoven (het college) de bevoegdheid om EUR 26.500,00 aan verbeurde dwangsommen in te vorderen.

    Eiseres is in cassatie gegaan tegen een arrest van het hof Den Bosch van 28 juli 2015. Eiseres heeft de cassatiedagvaarding laten betekenen ten kantore van verweerder's (eerdere) advocaat. De cassatiedagvaarding is enkel aan verweerder uitgebracht.

    Pledgee benefits from security rights in connection with receivables pledged to him

    In its 18 December 2015 ABN/Marell judgement, the Dutch Supreme Court held that if secured debt is pledged, the holder of that right of pledge has the authority to enforce not only its own pledge but also the security connected with that pledged secured debt. Such chains of secured debt are not uncommon, but often parties are not aware that they exist. According to this new case law, security down the chain can be used in the enforcement of the primary security.

    Ranking of bankruptcy trustee’s expenses not prejudiced by unlawful act

    On 5 February 2016 the Dutch Supreme Court ruled that the fact that a trustee in bankruptcy unlawfully collected pledged receivables has no consequences for the ranking of his salary. That the trustee in this case would profit from his unlawful behaviour (his salary is the highest ranking claim in a bankruptcy) is undesirable, but not enough reason to change the ranking.

    Het overwaarde-arrangement: houdbaar in faillissement!

    De Hoge Raad heeft twee uitspraken gedaan over de houdbaarheid van het overwaarde-arrangement in faillissement. In het kort stelt de Hoge Raad vast dat in geval van faillissement van de kredietnemer, de financiers gebruik kunnen maken van het overwaarde-arrangement, mits de kredietnemer partij is bij het arrangement.
